The Services set forth in this Invoice are subject to Avanti Prep, LLC's ("Avanti Prep's") Terms and Conditions for Services ("Terms and Conditions"), which will be sent to you via email, may be accessed at https://avantiprep.com/terms-and-conditions-for-services for your review and signature, and are incorporated by reference herein. By making any payment to Avanti Prep or signing the Terms and Conditions, you ("Client") affirm that that you have read, understood and agreed to the Terms and Conditions.
NON-REFUNDABLE PROCESSING FEE: Should you elect to terminate or cancel any Services set forth in this Invoice, in whole or in part, there will be a non-refundable processing fee of $500. In such instances, the non-refundable processing fee will be charged as a part of, and in accordance with, the full termination and refund provisions and calculation methodologies set forth in the Terms and Conditions.
EXPIRATION: Services must be used within one calendar year, the full provisions of which are as set forth in the Terms and Conditions.

This Invoice and its Services are governed by the Terms and Conditions in their entirety.

SUMMARIZED FROM SECTION 6 OF TERMS AND CONDITIONS
Client has the right to terminate this Agreement for convenience upon written notice to Avanti Prep, effective one (1) business day after Avanti Prep’s receipt of notice. In the event of such termination, Client shall remain obligated to pay Avanti Prep any and all charges for Services already rendered pursuant to this Agreement. If Avanti Prep receives Client’s notice of termination prior to the one-year anniversary of the Effective Date and Client has prepaid for Services which have not yet been rendered by Avanti Prep before termination takes effect, Client shall be entitled to a refund (if any) for such prepaid amounts, which shall be equal to the total amount Client has paid toward the applicable Invoice minus: (1) a non-refundable processing fee of $500 per applicable Invoice; and (2) the greater of 25% of the amount paid or $325 (Senior Consultant) or $425 (Founder) per hour of Service rendered before termination takes effect.
Termination and refund provisions apply on a per Invoice basis and shall be activated by the termination of any Service in an Invoice, in whole or in part. This includes, but is not limited to, the termination of any discrete school(s) in a multi-school Package.
All time spent by Avanti Prep in performing activities for the benefit of Client, including, but not limited to, Client-facing activities (e.g., calls, video conferences, etc.), non Client-facing activities (e.g., research, planning, story development, document reviews, etc.), and Client-specific administrative activities (e.g., emails, scheduling, etc.) shall be included in the calculation of the number of hours of Service already rendered, which shall be calculated by Avanti Prep in its sole discretion. If the sum of (1) and (2) above is equal to or greater than the amount that Client paid toward the applicable Invoice, then Client shall not be due any refund. No interest will be paid on refunds.
